Subject: Sermaye Hareketleri Genelgesinde Yapılan Değişiklik
Türk Parasının Kıymetini Koruma Hakkında 32 sayılı Karar ve buna ilişkin mevzuat ile yabancı sermayeli
şirketlerin sermaye hareketleri, ihracat, ithalat, döviz kazandırıcı işlemler, yurt içinden ve yurt dışından
temin edilen krediler, döviz ile düzenlenemeyecek sözleşmeler ve denetim konuları belirlenmiştir.
Kararın 12’nci maddesine göre yabancı yatırımcılar tarafından Türkiye’ye yapılacak doğrudan yatırımlar
Doğrudan Yabancı Yatırımlar Kanunu ve buna bağlı oluşturulan mevzuat çerçevesinde gerçekleştirilir.
Anılan Karara ilişkin usul ve esaslar TCMB I-M sayılı Genelgesi ile TCMB’nin Bankacılık ve Finansal
Kuruluşlar Genel Müdürlüğü tarafından çıkarılan Sermaye Hareketleri Genelgesi ile açıklanmaktadır.
2 Mayıs 2018 tarihli bu genelge bankanın web sayfasında yayımlanmakta olup, değişiklikler maalesef
Resmi Gazete’de yayımlanmamaktadır. Yabancı sermayeli firmalar için son derece önemli olan bu
mevzuat setinde yayımlandığı tarihten bugüne kadar 59 kez değişiklik yapılmıştır. Genelgenin güncel

Özet olarak bugüne kadar, döviz gelirlerinin beyanı ve yıllık güncelleme, risk merkezi bildirimleri, yurt
dışından gelen paraların kredi olup olmadığının takibinde bilgi belge ibrazı, yatırım teşvik belgesine dayalı
döviz kredilerinde mükerrer kullanımın önlenmesi yeni veya mevcut şirket alımında istisna konularında
değişiklikler yapılmıştır.
Son olarak, Hazine ve Maliye Bakanlığı’nın 04.11.2019 tarih ve 468620 sayılı yazısıyla TCMB’nin 2 Mayıs
2018 tarihli Sermaye Hareketleri Genelgesi’nin sermaye artırımında pay bedellerinin ödenmesine ilişkin
6. maddesinde değişikliğe gidilerek, Türkiye’de yerleşik şirketin yabancı ortakları tarafından daha sonra
gerçekleştirilecek sermaye artışı için şirket hesabına yatırılan sermaye avanslarının sermayeye ilave
edilmesi; sermaye artırım işleminin en geç 3 ay içinde gerçekleşmesi ve sermaye artırımının belgelenmesi
şartlarının birlikte gerçekleşmesine bağlanmıştır.
Söz konusu fıkra şu şekildedir:
(5) Yabancı ortaklardan ileride gerçekleştirilecek sermaye artışı için şirket hesabına yatırılan
tutarların sermayeye ilave edilebilmesi, sermaye artışı payı için ikinci fıkrada açıklanan işlem
süreci çerçevesinde en geç üç ay içinde sermaye artışının gerçekleştirilmesi ve sermaye
artırımının belgelenmesi suretiyle mümkündür.
Buna göre şirket sermayesine ilave edilmeyen tutarlar, yabancı ortak yönünden alacağın sermayeye
ilavesi, şirket yönünden ise yurt dışındaki ortaktan alınan krediye dönüşür.
Krediye dönüşen tutar için söz konusu Genelgenin 14’üncü maddesinde belirtilen kurallara uygunluk
kontrolü aracı bankaca yapılır. Krediye dönüşen tutarın bahse konu kurallara uygun olmaması
durumunda Hazine ve Maliye Bakanlığına bildirimde bulunulur ve bu tutar firma kredi bakiyesine
eklenerek Risk Merkezine bildirilir. Mevzuata aykırılık tespiti halinde Bakanlığa bildirimde bulunulur.
Mevcut Genelge öncesinde bu uygulamaya ilişkin düzenlemelerin yer aldığı 2 Ocak 2002 tarih ve
2002/YB-1 sayılı TCMB Sermaye Hareketleri Genelgesinin “1.2. Yabancı Sermayenin Ödenmesi” bölümü,
2013/YB-7 sayılı TCMB Genelgesi ile 6102 sayılı Türk Ticaret Kanunu’na uyum amacıyla değiştirilmiş ve
bu bölümde yer alan “sermaye avansı” kavramı ilgili genelge metninden çıkarılmıştı. Yapılan değişiklik ile
yukarıda yer alan şartları sağlayan sermaye avansı tutarlarının sermayeye eklenmek amacıyla Türkiye’ye
gelmesi mümkün olacaktır.
